Terms of Service

1. Who we are

Lingua ("Lingua", "we", "us", "our") is operated by Clover Consultants. By accessing or using Lingua you agree to be bound by these Terms of Service. If you do not agree, do not use the service.

2. The service

Lingua provides an AI-powered English speaking practice app, including lessons, pronunciation scoring, and conversational AI chat. Features may change over time as we improve the product.

3. Your account

You must provide accurate information when you sign up and keep your credentials confidential. You are responsible for all activity under your account. You must be of legal age in your jurisdiction to create an account, or have the consent of a parent or guardian.

Lingua uses third-party AI models to generate responses, feedback, and pronunciation analysis. AI outputs may be inaccurate, incomplete, or unsuitable for a given purpose. You are responsible for how you use AI outputs and should not rely on them as professional advice (medical, legal, financial, educational accreditation, or otherwise). We may filter, restrict, or refuse outputs and suspend accounts that misuse the AI features.

6. Intellectual property

Lingua and all related software, content, branding, and documentation are owned by Clover Consultants and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service for personal, non-commercial use within the plan you have purchased. You retain ownership of content you submit, and you grant us a limited license to host and process it solely to provide the service.

7. Payments, subscriptions and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellations and refund mechanics are governed by Paddle's Buyer Terms in addition to these terms. Subscriptions renew automatically at the end of each billing period unless cancelled. See our Refund Policy for details.

8. Service availability

We work hard to keep Lingua running smoothly, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue parts of the service at any time.

9. Suspension and termination

We may suspend or terminate your access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may stop using the service and close your account at any time. On termination, your right to use the service ends; some data may be retained as described in our Privacy Notice.

10. Disclaimers and limitation of liability

To the fullest extent permitted by law, the service is provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Our aggregate liability for any claim arising out of or related to the service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. Nothing in these terms limits liability where it cannot lawfully be limited (such as fraud, death, or personal injury caused by negligence).

11. Indemnity

You agree to indemnify Clover Consultants against claims arising from your content, your unlawful use of the service, or your breach of these terms.

12. Changes to these terms

We may update these terms from time to time. Material changes will be communicated through the app or by email. Continued use after the changes take effect constitutes acceptance.

13. Governing law

These terms are governed by the laws of the jurisdiction in which Clover Consultants is established, without regard to conflict of laws principles. Disputes will be resolved by the competent courts of that jurisdiction, except where mandatory consumer protection laws give you rights in your country of residence.
